These Terms govern your use of Trade Studio ("the Software"), provided by Jasper Kilian Moore, Am Weberholz 11, 41469 Neuss, Germany, moorejasper060@gmail.com ("we", "us"). By installing, activating a license for, or using the Software you accept these Terms. If you do not accept them, do not use the Software.

1. What Trade Studio is

Trade Studio is software you run on your own computer. It connects to your own brokerage account (e.g. Alpaca) using API keys you create and that stay on your machine. You decide whether to run it, in paper or live mode, and you control its settings.

We do not receive, hold, or have access to your money, your securities, or your brokerage credentials.
We do not execute trades for you, manage your account, or make personalized investment recommendations.
The Software places orders automatically on your account, according to its programmed rules, only while you have enabled it.

Trade Studio is a tool, not financial, investment, tax, or legal advice. Nothing it does or displays is a recommendation to buy or sell any security.

2. Eligibility & your responsibilities

You must be of legal age and legally permitted to trade in your jurisdiction. You are solely responsible for:

opening and funding your own brokerage account and complying with that broker's terms (Alpaca may restrict availability in your country);
every order the Software places on your account while enabled, and for monitoring it;
the settings you choose (symbols, risk, leverage, mode);
all taxes arising from your trading; and
complying with the laws that apply to you.

3. Licenses, paper vs. live, and subscriptions

Paper mode is free and unlimited. It uses simulated money.
Live mode requires a paid subscription. A subscription unlocks a fixed number of live accounts via a signed license key you activate in the app.
Live mode trades real money on your real account.
Subscriptions renew automatically until cancelled (see the Refunds & Withdrawal policy). When a subscription ends or lapses, the license expires and live accounts revert to locked; paper mode remains free.

4. Trading risk — read this

Trading involves substantial risk, including the total loss of your capital.
By default the Software trades on margin within your account equity (no leverage). Leverage — borrowing beyond your equity, up to about 2× — is an optional setting you can enable on accounts holding more than US$2,000. With leverage enabled, losses can exceed the cash you deposited, and you may owe your broker more than you put in.
Markets are unpredictable. Software can contain bugs, and can place, miss, or mistime orders. Connectivity, broker, data-feed, or operating-system failures can cause losses.
No profit is promised or guaranteed. Any simulated, historical, or illustrative performance is not a prediction of future results.
You should not trade with money you cannot afford to lose.

5. No warranty

The Software is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that it will be uninterrupted, error-free, profitable, or that it will meet your requirements.

6. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for any trading losses or for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Software. Our total aggregate liability for direct damages is limited to the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

Mandatory-law carve-out (Germany/EU): Nothing in these Terms limits liability that cannot be limited by law — including liability for intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit), for injury to life, body, or health, under the Product Liability Act (Produkthaftungsgesetz), or under any other mandatory statutory liability. For slight negligence we are liable only for breach of an essential contractual obligation (Kardinalpflicht), and then only for foreseeable, contract-typical damage.

7. Acceptable use

Do not reverse engineer, resell, redistribute, or share license keys; do not use the Software unlawfully or to manipulate markets. We may suspend or terminate a license for breach of these Terms or non-payment.

8. Changes, governing law, contact

We may update these Terms; material changes will be posted on this page. These Terms are governed by the laws of Germany, without prejudice to the mandatory consumer-protection rights of your country of residence.
